The Contracts Manager supports NeoSystems internal business by providing consistent, timely turnaround of key contracts-related tasks in support of the companys sales organization, proposal group, internal operations, and lines of business consistent with the ethical management of the companys risk. This position reports directly to the companys Director of Contracts.
Serve as a direct interface to the Sales and Proposal teams to review, draft and provide analysis and recommendations on all contractual matters related to NeoSystems commercial business.
Collaborate with all levels within the lines of business to review, draft and marshal to completion client/ customer agreements, subcontracts and other legal documents.
Own and manage the full contracts lifecycle from request/initiation through signature and filing/archiving. Develop and maintain standards, processes and procedures. Standards may include (without limitation) payment terms, limitation of liability, insurance requirements, applicable law and venue, dispute resolution, indemnification and warranties.
Support the internal operations and overhead organizations within the company by reviewing and analyzing vendor agreements.
Identify issues and client requirements, facilitate pricing discussions, and obtain line of business and senior management input on pricing, timelines and deliverables.
Maintain corporate standards for business agreements, and ensure the protection of the companys interests and those of the lines of business. Such corporate standards include (without limitation) price/ budget considerations, payment terms, and previously vetted legal terms and conditions related to limitation of liability, insurance, applicable law and venue, dispute resolution, indemnification and warranties.
Lead all commercial business contract negotiations with external parties, to include vendors, prospects and clients. Engage relevant stakeholders in negotiations and decisions involving legal or regulatory requirements, standards and cost targets.
While the Contracts Manager will not lead negotiations related to M&A activity or real estate transactions, they are expected to maintain a reasonable level of engagement and communication with the Director of Contracts and outside counsel on such matters and assist as appropriate.
Maintain a primary focus on task-oriented work, completing discrete tasks efficiently, consistently meeting the time frames specified within established SLAs. Utilize NeoSystems workflow management tool, Integrify, to manage tasks and internal communications. Discrete tasks include, without limitation, acknowledging requests, completing contract reviews/ redlines, uploading relevant contracts artifacts to Integrify, and maintaining ongoing professional communication with all internal and external stakeholders.
Obtain necessary signatures using DocuSign or other appropriate methods. Upload final signed versions of contracts to the companys secure contracts repository, utilizing the companys established contract naming convention.
Escalate any matters when appropriate to the Director of Contracts or, should the Director so direct, to outside legal counsel while maintaining consistent focus on completing tasks within established SLAs.
Track key contracts data including, without limitation, contract expiration dates and the dates of relevant commitments (e.g., renewals, price increases, etc.), and initiate processes for renewal and price amendment.
Perform actions required to close out completed contracts and subcontracts.
Serve as the principal point of contact for contract/ subcontract related communications.
This is a full-time, manager level position that works under the supervision of the Director of Contracts. Due to the nature of this position and the need for ongoing communication with the Director, sales team, proposal group, operations group and other internal stakeholders, the Contracts Manager is generally required to be present in NeoSystems offices during core business hours.
ESSENTIAL SKILLS AND EXPERIENCE:
5- 8 years of progressively responsible, directly relevant business experience.
Bachelors degree in business or related field. Advanced degree a plus, but not required. Legal training or background is helpful, but not a requirement.
Keen business acumen and broad working knowledge of commercial contract law required.
Basic familiarity and working knowledge of Government Contracts and relevant associated regulations and standards is a plus.
Skilled writer experienced in drafting concise and clear business terms and agreements.
Highly proficient in office applications including Word, Excel and Outlook.
Strong problem solving aptitude.
Ability to handle multiple discrete tasks simultaneously.
Strong verbal and written communications skills; must be capable of effectively analyzing and redlining commercial agreements to identify legal considerations, risk factors and other elements needing to be addressed before the agreement is ready for NeoSystems signature.
Experience in applying organizational standards when supporting requests for proposals and drafting/redlining contracts.
